1. Acceptance of Terms

By accessing or using AttorneyAI's services, website, platform, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Important: These Terms constitute a legally binding agreement between you and AttorneyAI. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

AttorneyAI provides AI-powered legal research and document automation tools, including but not limited to:

  • Semantic Legal Search: Access to 65+ million legal decisions from Turkey and 50+ countries
  • AI Legal Assistant: Conversational AI for legal research, case analysis, and document review
  • Case Outcome Prediction: Machine learning models trained on 10+ million legal decisions
  • Document Automation: 500+ legal templates with intelligent auto-fill capabilities
  • Case Management: Digital workspace for organizing cases, clients, and documents
  • Collaboration Tools: Team workspaces, secure file sharing, and audit trails

3. Eligibility and Account Requirements

3.1 Who Can Use AttorneyAI

  • You must be at least 18 years old to use our Services
  • You must be a licensed attorney, legal professional, or law student
  • You must provide accurate and complete registration information
  • You must maintain the security of your account credentials

3.2 Account Security

You are responsible for all activities that occur under your account. You must immediately notify us at security@ailydian.com if you suspect any unauthorized access or security breach.

3.3 Professional Verification

We may require verification of your bar association membership or law school enrollment. Providing false credentials will result in immediate account termination.

4. Subscription Plans and Payment

4.1 Subscription Tiers

  • Free Tier: 50 AI queries/month, basic search, 5 documents, single user
  • Individual ($49/month): 500 AI queries, unlimited search, 100 documents, case predictions
  • Small Office ($199/month): 5 users, 2500 queries, collaboration tools, priority support
  • Enterprise (Custom): Unlimited users/queries, API access, SLA, dedicated account manager

4.2 Billing and Renewal

  • Subscriptions are billed monthly or annually in advance
  • Your subscription will automatically renew unless canceled at least 24 hours before renewal
  • Prices may change with 30 days' notice to existing subscribers
  • No refunds for partial months or unused queries

4.3 Payment Processing

Payments are processed securely through Stripe. We do not store credit card information on our servers. By providing payment information, you authorize us to charge the applicable subscription fees.

4.4 Late Payment and Suspension

If a payment fails, we will attempt to charge your payment method up to 3 times over 10 days. If payment is not received, your account may be suspended or downgraded to the Free tier.

5. Acceptable Use Policy

You agree NOT to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Scrape, spider, or crawl the Services using automated tools
  • Reverse engineer, decompile, or disassemble our software
  • Resell, sublicense, or redistribute access to the Services
  • Share your account credentials with unauthorized users
  • Use the Services for illegal activities or to facilitate crimes
  • Generate spam, phishing emails, or fraudulent communications
  • Harass, abuse, or harm other users or AttorneyAI staff

Violation Consequences: We reserve the right to suspend or terminate your account immediately for violations of this Acceptable Use Policy, without refund.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, software, trademarks, logos, and materials provided through the Services are owned by AttorneyAI or our licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of all documents, research notes, and materials you upload to the Services ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Services.

6.3 AI-Generated Content

Content generated by our AI tools (summaries, predictions, documents) is provided to you under a perpetual, royalty-free license. However, you are solely responsible for reviewing and verifying AI-generated content before use in legal proceedings.

6.4 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Services, you grant us an unlimited, perpetual license to use and incorporate such feedback without compensation or attribution.

7. Disclaimers and Limitations of Liability

7.1 No Legal Advice

IMPORTANT: AttorneyAI is a technology platform, not a law firm. Our Services do not constitute legal advice, and no attorney-client relationship is formed by using our Services. You should consult with a qualified attorney for legal advice specific to your situation.

7.2 No Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATTORNEYAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICES.

Maximum Liability: Our total liability to you for all claims related to the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 (whichever is greater).

7.4 AI Model Limitations

Our AI models may produce errors, inaccuracies, or outdated information. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. Always verify AI outputs with authoritative legal sources.

8. Indemnification

You agree to indemnify, defend, and hold harmless AttorneyAI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms or applicable laws
  • Your User Content or any infringement of third-party rights
  • Your breach of professional duties or legal malpractice (if applicable)
  • Any disputes between you and your clients arising from use of the Services

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial months.

9.2 Termination by Us

We may suspend or terminate your account immediately, without notice or refund, if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account has been inactive for more than 180 days (Free tier only)
  • We are required to do so by law or court order
  • We discontinue the Services (with 90 days' notice and pro-rata refund)

9.3 Effect of Termination

Upon termination, your right to access the Services will immediately cease. We will retain your data for 30 days to allow you to export your content. After 30 days, all data may be permanently deleted (except as required by law).

10. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Material changes will be notified via email at least 30 days in advance. If you do not agree to the revised Terms, you must stop using the Services and cancel your subscription.

Your Continued Use: Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Turkey. For disputes arising in the United States, Delaware law applies (excluding conflicts of law principles).

11.2 Arbitration Agreement

Any disputes, claims, or controversies arising out of these Terms or the Services will be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

  • Arbitration will be conducted by ICDR (International Centre for Dispute Resolution)
  • Arbitration will take place in Istanbul, Turkey (or your jurisdiction for US users)
  • Each party bears its own legal fees, unless the arbitrator awards fees to the prevailing party

11.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. This waiver does not apply where prohibited by law.

11.4 Informal Resolution

Before filing any claim, you agree to contact us at legal@ailydian.comand attempt to resolve the dispute informally for at least 30 days.

12. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and AttorneyAI.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, wars, pandemics, internet outages, etc.).
  • Export Compliance: You agree to comply with all applicable export control laws and regulations.
